Versano AI, Inc. — Website and Mobile Application. These Terms of Use (“Terms”) are a binding agreement between you and Versano AI, Inc., a Delaware corporation (“Versano,” the “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website at www.versano.ai, our mobile and web applications, and all related products, features, content, and services, including our AI-powered project management, estimating, scheduling, and communication tools for residential construction and remodeling projects (collectively, the “Services”).

Please read these Terms carefully. By creating an account, clicking to accept, or accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Important: Section 17 contains a binding arbitration provision and class action waiver that affect your legal rights.

1. Who May Use the Services; Accounts

1.1 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are not directed to, and may not be used by, anyone under 18. If you use the Services on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

1.2 Account Registration and Security

You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@versano.ai of any unauthorized use. We are not liable for losses caused by unauthorized use resulting from your failure to safeguard your credentials.

1.3 Professional Users

If you use the Services as a contractor, subcontractor, design professional, or other trade professional (a “Professional User”), you represent and warrant that you hold, and will maintain, all licenses, registrations, permits, and insurance required by applicable law for the work you perform, and that you will comply with all applicable building codes, permitting requirements, and consumer protection laws. Versano does not verify licensure or qualifications and is not responsible for the acts or omissions of any Professional User.

2. The Services; What Versano Is — and Is Not

2.1 Nature of the Services

The Services provide software tools — including AI-assisted features — that help homeowners, contractors, and other project participants plan, estimate, schedule, document, and communicate about residential construction and remodeling projects. The Services may generate estimates, cost projections, schedules, task lists, material takeoffs, summaries, and other outputs, some of which are produced by artificial intelligence models (“AI Outputs”).

2.2 Not a Contractor, Broker, or Professional Advisor

Versano is a software provider only. We are not a general contractor, construction manager, architect, engineer, home improvement contractor, inspector, insurer, lender, or real estate broker, and we do not perform, supervise, or guarantee any construction work. We are not a party to any contract between homeowners, contractors, subcontractors, suppliers, or any other users. Any agreement for construction services is solely between the parties to that agreement.

2.3 No Professional Advice

Content and AI Outputs provided through the Services — including estimates, pricing, schedules, code or permitting information, and design suggestions — are for informational purposes only and do not constitute architectural, engineering, legal, financial, tax, insurance, or other professional advice. Always consult qualified, licensed professionals and your local building department before making decisions or performing work.

2.4 AI Outputs — Important Limitations

AI Outputs are generated by probabilistic models and may be inaccurate, incomplete, outdated, or unsuitable for your project. Actual costs, timelines, quantities, and site conditions can differ materially from any estimate or plan generated by the Services. You are solely responsible for reviewing, verifying, and validating all AI Outputs before relying on them. AI Outputs are not a bid, offer, quote, or guarantee of price or performance by Versano.

3. License to Use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal use or your internal business purposes. All rights not expressly granted are reserved by Versano and its licensors.

4. Your Content

4.1 Definition

“User Content” means any content you or your authorized users submit to the Services, including project descriptions, plans, drawings, specifications, photos, videos, measurements, budgets, messages, documents, and feedback.

4.2 Ownership and License to Versano

You retain ownership of your User Content. You grant Versano a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and transmit your User Content solely as needed to operate, provide, secure, and improve the Services, comply with law, and enforce these Terms. This license ends when your User Content is deleted from our systems, except for copies retained in routine backups or as required by law.

4.3 Sharing Within Projects

The Services are collaborative. When you add User Content to a project, it may be visible to other participants in that project according to the sharing and permission settings of the Services. You are responsible for what you share and with whom.

4.4 Your Responsibilities

You represent and warrant that you own or have the necessary rights to your User Content, and that it does not infringe or misappropriate any third party's rights or violate any law. You are responsible for the accuracy of measurements, site information, and other inputs you provide.

5. Acceptable Use

You agree not to, and not to permit anyone to:

  • use the Services for any unlawful, fraudulent, or deceptive purpose, or in violation of any building, licensing, consumer protection, or other applicable law;
  • misrepresent your identity, licensure, qualifications, or affiliation with any person or entity;
  • upload content that is infringing, defamatory, harassing, obscene, or otherwise objectionable, or that contains malware or harmful code;
  • attempt to probe, scan, or test the vulnerability of the Services, bypass security or access controls, or access accounts or data that do not belong to you;
  • scrape, crawl, harvest, or use automated means to access the Services or extract data, except as permitted by a written agreement with us;
  • reverse engineer, decompile, or disassemble the Services, or use the Services to build a competing product;
  • use the Services or any AI Output to develop, train, or improve any machine learning model, except with our prior written consent;
  • resell, sublicense, or make the Services available to third parties except as expressly permitted;
  • interfere with or disrupt the integrity or performance of the Services or the data of other users.

We may investigate violations and may suspend or terminate accounts, remove content, and cooperate with law enforcement as we deem appropriate.

6. Fees, Subscriptions, and Payment

6.1 Fees

Certain features of the Services may require payment of fees, whether one-time, subscription-based, usage-based, or transaction-based. Applicable fees, billing frequency, and payment terms will be disclosed at the point of purchase or in an applicable order form. Except as expressly stated or required by law, all fees are non-refundable.

6.2 Subscriptions and Auto-Renewal

Unless otherwise stated, paid subscriptions automatically renew for successive periods equal to the initial term at the then-current rates until cancelled. You may cancel at any time through your account settings or by contacting us at support@versano.ai; cancellation takes effect at the end of the current billing period. We will provide notice of material price changes in advance, and continued use after a change takes effect constitutes acceptance.

6.3 Payment Processing

Payments are processed by third-party payment processors. Your use of their services is subject to their terms and privacy policies, and you authorize them to charge your selected payment method for all fees due. Versano does not store full payment card numbers.

6.4 Taxes

Fees are exclusive of taxes. You are responsible for all applicable sales, use, and similar taxes, other than taxes on our net income.

6.5 Free Trials and Beta Features

We may offer free trials, pilots, or beta features. These are provided “as is,” may be modified or discontinued at any time, and may be subject to additional terms. Unless you cancel before a free trial ends, your paid subscription begins automatically when the trial expires, if so disclosed at signup.

7. Intellectual Property

The Services — including all software, models, algorithms, designs, text, graphics, logos, and the “Versano” and product names and marks — are owned by Versano or its licensors and are protected by intellectual property laws. Except for the limited license in Section 3, nothing in these Terms transfers any rights to you. You may not use our names, logos, or trademarks without our prior written consent.

7.1 AI Outputs

As between you and Versano, and subject to these Terms and applicable law, you may use AI Outputs generated for you in connection with your project or business. You acknowledge that AI Outputs may not be unique, that similar or identical outputs may be generated for other users, and that Versano makes no representation regarding the protectability of AI Outputs under intellectual property law.

7.2 Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

8. Third-Party Services and Content

The Services may link to or interoperate with third-party websites, products, integrations, data sources, and services. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their terms. References to third-party products, suppliers, or contractors do not constitute an endorsement.

9. Copyright Complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c)(3) to our designated agent at legal@versano.ai, including: identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the notice is accurate and you are authorized to act; and your physical or electronic signature. We may remove content and terminate repeat infringers in appropriate circumstances.

10. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy, available at versano.ai/privacy, which is incorporated into these Terms by reference.

11. Communications

By providing your contact information, you consent to receive service-related communications from us electronically (including email and in-app notifications). If you opt in to SMS/text messages, message and data rates may apply and you may opt out at any time by following the instructions provided (for example, replying STOP). Marketing communications will include an opt-out mechanism.

12. Disclaimers

To the maximum extent permitted by law, the Services, all content, and all AI Outputs are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and non-interruption. Without limiting the foregoing, Versano does not warrant that: (a) any estimate, price, quantity, schedule, or other AI Output is accurate, complete, or reliable; (b) the Services will meet your requirements or be uninterrupted, secure, or error-free; or (c) any Professional User is licensed, qualified, insured, or will perform any work properly or at all. You assume all risk arising from your use of the Services and from any construction project, including cost overruns, delays, defects, code violations, and disputes with other parties. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law: (a) in no event will Versano or its officers, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, or for any costs of construction, repair, or substitute services, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages; and (b) Versano's total aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of (i) the amounts you paid to Versano for the Services in the twelve (12) months before the event giving rise to the claim and (ii) one hundred U.S. dollars (US $100). The exclusions and limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You will defend, indemnify, and hold harmless Versano and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Services or AI Outputs; (c) your violation of these Terms or applicable law; (d) any construction project, work, product, or service you provide, procure, or perform; or (e) any dispute between you and another user or third party.

15. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services (or any part of them) at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services or other users. Upon termination, your license ends and we may delete your account data in accordance with our data retention practices, subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination (including Sections 2, 4.2, 7, 12–14, and 16–19) survive.

16. Governing Law

These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, and, where applicable, the Federal Arbitration Act. Subject to Section 17, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to personal jurisdiction and venue there.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully — it affects your rights.

17.1 Informal Resolution First

Before filing a claim, you and Versano agree to try to resolve any dispute informally by sending written notice to the other party (legal@versano.ai for notices to Versano) describing the dispute and the relief sought, and engaging in good-faith discussions for at least 60 days.

17.2 Binding Arbitration

Except as provided in Section 17.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business users), before a single arbitrator. The arbitration will be conducted in the State of Florida or, for consumer claims, in the county where you reside, and may be conducted by videoconference where permitted. Judgment on the award may be entered in any court of competent jurisdiction. Payment of filing and arbitrator fees will be governed by the applicable AAA rules.

17.3 Class Action and Jury Trial Waiver

You and Versano each waive the right to a jury trial and the right to participate in a class, collective, consolidated, or representative action. All claims must be brought in the parties' individual capacity. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

17.4 Exceptions

Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

17.5 Opt-Out

You may opt out of this arbitration agreement by emailing legal@versano.ai within 30 days of first accepting these Terms, stating your name, account email, and your intent to opt out of arbitration. Opting out does not affect any other provision of these Terms.

18. Changes to the Services and These Terms

We may modify the Services at any time, and we may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email, in-app notice, or by posting the updated Terms with a new “Last Updated” date). Changes take effect on the date stated in the notice, and your continued use of the Services after that date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services.

19. General

  • Entire Agreement. These Terms, the Privacy Policy, and any order forms or supplemental terms you accept constitute the entire agreement between you and Versano regarding the Services and supersede all prior agreements on that subject.
  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
  • Severability; Waiver. If any provision is found unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver of it.
  • Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Export and Sanctions. You may not use the Services in violation of U.S. export control or sanctions laws.
  • App Stores.If you download the App from the Apple App Store or Google Play, the applicable store's terms also apply. Apple and Google are not parties to these Terms, have no obligation to provide support or maintenance, and are third-party beneficiaries of these Terms solely with respect to your license to use the App.
  • Notices. We may provide notices by email, in-app notice, or posting to the Site. Legal notices to Versano should be sent to Versano AI, Inc., 7 Locust Place, Livingston, NJ, with a copy to legal@versano.ai.
